1. Use of the Website

By using this site, you represent that you are at least the age of majority in your jurisdiction. You agree not to use our products for any illegal or unauthorized purpose, nor violate any laws in your jurisdiction (including copyright laws).

2. Product Information and Pricing

We strive for accuracy, but we cannot guarantee that all product descriptions or colors will be 100% accurate due to monitor variations.

Pricing: We reserve the right to change prices without notice.

Errors: In the event of a pricing error, we reserve the right to cancel orders placed at the incorrect price.

3. Orders and Payments

Acceptance: Your receipt of an order confirmation does not signify our acceptance of your order. We reserve the right to refuse or limit any order.

Payment: We accept [Visa, Mastercard, bKash]. You agree to provide current, complete, and accurate purchase and account billing information.

4. Shipping and Delivery

Shipping times are estimates and are not guaranteed. Charm Octane is not responsible for delays caused by the carrier.

5. Returns and Refunds

Our return policy lasts 7 days. To be eligible for a return:

Items must be unworn, unwashed, and in original packaging with tags.

6. Intellectual Property

All content on this site including images, logos, designs, and text is the property of Charm Octane and is protected by international copyright laws. You may not reproduce, duplicate, or sell any portion of our service without express written permission.

7. Limitation of Liability

Charm Octane shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our products or website. Our liability is limited to the amount paid for the product in question.

 

Terms and Conditions for Photography, Videography, and Brand Usage

1. Scope of Agreement

This Agreement sets forth the terms and conditions governing all photoshoots, video productions, and media creation (collectively, “Content Creation”) conducted for or on behalf of Charm Octane as well as the use of the Brand’s name, logo, trademarks, and associated intellectual property. By participating in any photoshoot, video shoot, or campaign, all participating parties (including models, photographers, videographers, stylists, hair/makeup artists, and agency representatives, collectively referred to as “Participants”) agree to be bound by these terms.

2. Intellectual Property & Copyright Ownership

  • Brand Assets: The Brand name, logo, trade dress, garment designs, and trademarks remain the sole and exclusive property of the Brand. Nothing in this Agreement grants Participants any rights, title, or interest in the Brand’s trademarks or designs.
  • Work for Hire / Assignment: Unless otherwise agreed in a separate written master services agreement signed by an authorized representative of the Brand, all imagery, raw video footage, edited videos, audio recordings, and behind-the-scenes (BTS) material created during or for the production are considered “works made for hire.” To the extent any work does not qualify as a work made for hire, the Participant hereby assigns all right, title, and interest (including copyright) in and to such content to the Brand in perpetuity, globally.

3. Usage Rights & Content Licensing

For the Brand:

  • The Brand retains unrestricted, worldwide, perpetual, royalty free rights to edit, alter, publish, distribute, license, and commercialize all photographic images, raw footage, edited video content, and audio produced during the production across all media (including, but not limited to, website, e-commerce, print, digital advertising, social media, outdoor media, and press).

For Models and Talent (Model Release):

  • Participants grant the Brand the irrevocable right to use their name, image, likeness, voice, and performance in connection with the Brand’s marketing, advertising, and commercial operations worldwide without restriction or additional compensation, except as explicitly outlined in a signed compensation agreement.

For Creative Crew (Photographers, Videographers, Stylists, etc.):

  • Portfolio Usage: Participants are granted a limited, non exclusive, non transferable license to showcase final, approved published images or video clips in their personal online portfolio, website, or professional social media accounts strictly for self-promotional purposes.
  • Release Timing: Portfolio posting is strictly prohibited prior to the official public release of the collection, campaign, or content by the Brand.
  • Raw Footage & Unreleased Assets: Participants may not publish, license, sell, or distribute raw footage, unedited photographs, discarded takes, or unreleased assets to third parties under any circumstances.

4. Brand Name & Trademark Usage Guidelines

  • Tagging & Attribution: When posting approved content on social media, Participants must tag the Brand’s official social media handle(s) and, where applicable, credit other key creative team members.
  • Prohibited Uses: Participants shall not use the Brand’s name, logo, or content in any manner that:
    • Implies official endorsement, partnership, or co-branding without prior written approval.
    • Sells, monetizes, or licenses the content to stock photo/video websites, print-on-demand services, or third-party publications.
    • Defames, disparages, or brings disrepute to the Brand, its products, or its representatives.

5. Production Confidentiality & Non-Disclosure (NDA)

  • All non-public details regarding unreleased collections, garment designs, launch dates, pricing, themes, location details, and marketing strategies shared during or prior to the production are strictly confidential.
  • Participants shall not share, leak, or post behind the scenes content, garment previews, or production details to public forums, social media, or third parties prior to the official brand campaign launch.

6. Compensation, Deliverables & Turnaround

  • Compensation for services rendered shall be governed by separate invoice, purchase order, or written agreement.
  • Creative contractors (photographers/videographers) agree to deliver final deliverables (high resolution retouched images, specified video edits, raw files if contracted) within the agreed-upon timeframe following the shoot.
  • Late delivery or failure to meet agreed deliverable technical specifications may result in payment withholding or renegotiation as specified in individual contractor service contracts.

7. Conduct, Safety & On Set Policy

  • All Participants agree to maintain a safe, respectful, and professional environment on set. Harassment, discrimination, or unsafe working conditions will not be tolerated.
  • The Brand is not responsible for personal property lost, stolen, or damaged on set, except where caused by direct negligence of the Brand.

8. Governing Law & Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of Bangladesh.
  • Any disputes arising from this Agreement shall first be addressed through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or court proceedings within the specified jurisdiction.

9. Acceptance of Terms

Participation in the shoot, execution of a related call sheet/service agreement, or access to production sets constitutes full acceptance of these Terms and Conditions by the Participant.
